1. Introduction
These Terms and Conditions govern your access to and use of MAIA by FWM ("MAIA", "we", "us", "our"), including our website, desktop application, account dashboard, paid plans, support services, integrations, updates, recipes, installer guidance, and related services.
By creating an account, downloading the MAIA desktop application, purchasing a plan, using support services, or accessing MAIA features, you agree to these Terms.
If you do not agree, do not use MAIA.
2. What MAIA Is
MAIA is a Windows-first desktop application and backend-controlled platform designed to help users install, configure, troubleshoot, and use local/private AI tools on their own PC.
MAIA may provide:
- hardware scanning and setup scoring;
- local AI recommendations;
- guided setup workflows;
- local model and runtime management;
- local chat workflows;
- document and RAG workflows;
- integration detection and guidance;
- signed recipes and installer manifests;
- troubleshooting flows;
- backup and restore features;
- support tickets and optional diagnostics;
- account, license, subscription, and entitlement management.
MAIA is intended to make local AI setup easier. MAIA is not a guarantee that every PC, model, tool, runtime, driver, Docker image, or integration will work perfectly.
3. Account Requirement
Some or all MAIA desktop workflows may require an account.
You agree to provide accurate account information and keep your login credentials secure. You are responsible for activity under your account unless the activity was caused by our security failure.
MAIA may use your account to manage:
- sign-in;
- licenses;
- subscriptions;
- one-time purchases;
- device activations;
- feature entitlements;
- support tickets;
- update access;
- premium recipes;
- installer manifests;
- paid integrations;
- premium Docker image access.
You may not share, resell, transfer, rent, or abuse your MAIA account, license, subscription, or device activations unless we expressly allow it.
4. Plans, Licenses, and Entitlements
MAIA may offer Free, Personal, Business, Enterprise, one-time license, beta, trial, discounted, or support/service plans.
Features may differ by plan. Paid access is controlled by backend entitlements. A feature visible in the app does not mean you are entitled to use it.
We may add, remove, rename, limit, improve, or restructure features, plans, and entitlements over time.
One-time licenses, if offered, give access to the specific license benefits described at purchase. A one-time license does not automatically include all future subscription features, enterprise services, premium integrations, or ongoing support unless stated in writing.
5. Payments, Renewals, and Refunds
Paid plans may be billed monthly, yearly, one-time, or as a service package.
By purchasing a paid plan, you authorize our payment provider to charge the applicable fees, taxes, and renewal amounts.
Unless stated otherwise:
- subscriptions renew automatically until cancelled;
- cancellation stops future renewal but does not automatically refund past payments;
- refunds are handled according to the refund policy shown at purchase;
- setup/service packages may be non-refundable once work has started;
- prices may change, but changes will not affect already-paid periods.
Refund Policy: "Subscription payments are refundable within 7 days only if the paid feature was not successfully accessed. Setup/service packages are refundable before work starts only."
6. Third-Party Tools, Models, Integrations, and Downloads
MAIA may help users discover, install, detect, configure, or use third-party software, AI models, runtimes, tools, Docker images, repositories, APIs, installers, websites, and services.
Examples may include tools such as Ollama, Docker, LM Studio, Open WebUI, AnythingLLM, model repositories, Hugging Face repositories, GitHub projects, and other integrations added later.
Unless clearly stated in writing:
- third-party tools are not owned by MAIA or FWM;
- MAIA is not affiliated with, sponsored by, or endorsed by third-party tool owners;
- third-party names, logos, and trademarks belong to their respective owners;
- third-party software and models are governed by their own licenses and terms;
- you are responsible for reviewing and complying with third-party licenses and terms;
- MAIA does not grant you rights to third-party software or models beyond the rights granted by the original owner.
MAIA may link to official download pages or provide installation guidance. Where MAIA provides checksums, signatures, verification status, or digest status, this is a security and integrity aid only. It is not a legal guarantee, warranty, or endorsement.
7. Docker and Containerized Workflows
MAIA may detect Docker, guide Docker setup, or provide access to approved Docker-related workflows or premium Docker image features.
You are responsible for ensuring that your use of Docker, Docker Desktop, Docker Engine, container images, registries, and related tools complies with the applicable licenses, subscriptions, and terms of the relevant providers.
Business, enterprise, government, or professional users should review Docker's current licensing requirements before using Docker Desktop or Docker-related workflows.
MAIA may refuse, limit, revoke, or audit access to premium Docker image workflows to prevent abuse, credential leakage, unauthorized redistribution, excessive pulls, or violation of third-party rights.
8. Local AI Outputs and User Responsibility
MAIA may help you run local AI models. AI-generated outputs may be inaccurate, incomplete, outdated, biased, unsafe, or unsuitable for your use case.
You are responsible for reviewing and validating all AI outputs before relying on them.
MAIA is not intended to provide:
- legal advice;
- medical advice;
- financial advice;
- tax advice;
- engineering safety advice;
- hiring or employment decisions;
- credit decisions;
- biometric identification;
- law-enforcement decisions;
- regulated high-risk decision-making.
Do not use MAIA or AI outputs as the sole basis for decisions that may affect legal rights, safety, health, finances, employment, or other high-impact matters.
9. Local Data and User Content
MAIA may store certain data locally on your Windows device, including local chat history, RAG metadata, document indexes, settings, setup progress, workflow state, and related local app data.
You are responsible for:
- the files you import;
- the models you install;
- the prompts you enter;
- the local chats you create;
- the documents you process;
- your backups;
- your local device security;
- complying with laws and third-party rights when using content.
You must not use MAIA to process, store, upload, or distribute content that is illegal, infringing, harmful, abusive, exploitative, or unauthorized.
10. Diagnostics and Support
MAIA may offer support tickets, diagnostic summaries, troubleshooting flows, logs, and optional diagnostic uploads.
Diagnostics may include technical information about your device, app state, runtimes, errors, installed tools, configuration, license status, or other troubleshooting details.
Unless clearly stated otherwise, diagnostic upload is optional. You should review diagnostic information before sending it to us.
We may redact, summarize, store, and use diagnostics to provide support, improve MAIA, detect abuse, and resolve technical issues.
Do not send passwords, secrets, API keys, private keys, confidential client files, sensitive personal data, or regulated information unless we explicitly request it through a secure process.
11. Premium Recipes, Manifests, and Troubleshooting Flows
MAIA may provide backend-controlled recipes, installer manifests, model metadata, troubleshooting flows, and other controlled bundles.
These may be signed and verified by the desktop app. Signature verification helps confirm that content came from MAIA's backend, but it does not guarantee that every third-party tool, model, or environment will work without issue.
Recipes and troubleshooting flows are intended to perform safe workflow steps such as opening screens, opening URLs, pulling models, selecting workspaces, applying settings, refreshing runtimes, or creating support ticket drafts.
MAIA does not permit arbitrary command execution, unsafe scripts, or unauthorized system modifications unless a future signed-command system is released with additional safeguards.
12. Updates
MAIA may check for updates, release notes, forced updates, optional updates, version eligibility, beta channel access, paid channel access, or security updates.
We may require updates for security, compatibility, licensing, abuse prevention, backend compatibility, or legal compliance.
If you refuse or cannot install required updates, some features may stop working.
13. Acceptable Use
You agree not to:
- reverse engineer MAIA except where legally allowed;
- bypass license checks, subscriptions, entitlements, device activation, or access controls;
- share premium recipes, paid manifests, private Docker image access, pull tokens, or paid metadata;
- extract, copy, mirror, or redistribute premium MAIA content;
- use stolen payment details or false account information;
- attack, overload, scrape, or abuse MAIA's backend;
- upload malware, secrets, or harmful diagnostics;
- use MAIA to violate third-party licenses or copyrights;
- use MAIA for illegal activity;
- use MAIA to generate or facilitate malware, credential theft, unauthorized access, spam, fraud, or harm;
- misrepresent MAIA as affiliated with third-party tools unless we have confirmed such affiliation.
We may suspend or terminate access if we believe you violated these Terms or created legal, security, payment, or abuse risk.
14. Intellectual Property
MAIA, including its desktop app, website, backend-controlled content, branding, UI, documentation, workflows, recipes, manifests, recommendation logic, paid metadata, and service content, is owned by FWM or its licensors.
You receive a limited, non-exclusive, non-transferable, revocable license to use MAIA according to your plan and these Terms.
You do not receive ownership of MAIA, its source code, backend systems, private admin tools, premium content, signing keys, recipes, manifests, or other protected materials.
Third-party software, models, integrations, logos, trademarks, and content remain owned by their respective owners.
15. Beta, Experimental, and Preview Features
MAIA may include beta, preview, experimental, incomplete, or placeholder features.
Such features may be unstable, inaccurate, limited, changed, removed, or unavailable without notice.
OCR, advanced integrations, automation, premium Docker workflows, model comparison, recommendations, and troubleshooting flows may depend on third-party tools, local machine state, model availability, drivers, internet access, and user configuration.
16. No Warranty
MAIA is provided on an "as is" and "as available" basis.
To the maximum extent allowed by law, we do not guarantee that:
- MAIA will always work;
- all integrations will work;
- all models will run on your device;
- all recommendations will be correct;
- third-party tools will remain available;
- downloads will remain unchanged;
- local AI outputs will be accurate;
- troubleshooting will fix every issue;
- your device will be compatible;
- your setup will meet business, legal, compliance, or security requirements.
17. Limitation of Liability
To the maximum extent allowed by law, FWM will not be liable for indirect, incidental, special, consequential, punitive, or business losses, including loss of profits, data, business, goodwill, reputation, or opportunity.
Our total liability for any claim related to MAIA will not exceed the amount you paid to us for MAIA in the three months before the claim, or AED 100, whichever is greater.
This limitation does not exclude liability that cannot be excluded under applicable law.
18. Indemnity
You agree to indemnify and hold harmless FWM from claims, damages, losses, liabilities, costs, and expenses arising from:
- your misuse of MAIA;
- your violation of these Terms;
- your violation of third-party licenses;
- your content, files, prompts, models, or outputs;
- your use of MAIA in regulated or high-risk environments;
- your unauthorized sharing or redistribution of paid content;
- your unlawful use of third-party tools, models, or integrations.
19. Suspension and Termination
We may suspend or terminate your account, license, subscription, access to paid features, support, or device activations if:
- you violate these Terms;
- payment fails;
- we detect abuse or fraud;
- required legal or security action is needed;
- you create risk to MAIA, FWM, other users, or third parties;
- your use violates third-party terms or licenses.
You may stop using MAIA at any time. Some local data may remain on your device unless you delete it.
20. Changes to These Terms
We may update these Terms from time to time. If changes are material, we may notify you through the website, app, account dashboard, email, or update notes.
Continued use of MAIA after the effective date of updated Terms means you accept the updated Terms.
21. Governing Law and Disputes
These Terms are governed by the laws of the United Arab Emirates and the applicable laws of Ajman.
Any dispute will be subject to the courts of Ajman, unless another dispute process is required by applicable law or agreed in writing.
